Goodlot is operated by Authentified Operations Pty Ltd (ACN 676 115 272 / ABN 88 676 115 272), registered with ASIC as Goodlot Auctions (“Goodlot”, “we” or “us”). Goodlot is part of the Authentified group of companies. These Terms and Conditions (Terms) govern your access to and use of the goodlot.co website
and any related Goodlot web pages (the Website). By accessing or using the Website you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Website. These Terms operate alongside our Privacy Policy, which is incorporated by reference and forms part of these Terms.


1. ABOUT THE WEBSITE
1.1 The Website is an informational and marketing presence for Goodlot’s charity auction services. It does not host auctions, accept bids, or process payments.
1.2 Auctions operated by Goodlot are run on third-party platforms, including eBay. Any bid, purchase or other transaction made in connection with a Goodlot auction is subject to the terms and conditions of the platform on which that auction is hosted, in addition to any applicable Goodlot terms posted on the relevant listing.
1.3 We may update, suspend or discontinue any aspect of the Website at any time without notice.

2. PERMITTED USE
2.1 You may use the Website for lawful personal, business or professional purposes consistent with these Terms, including to: (a) browse information about Goodlot and our services; (b) submit a contact-form enquiry; (c) subscribe to Goodlot communications; and (d) follow links to Goodlot auction listings on third-party platforms.

3. PROHIBITED CONDUCT
You must not, and must not permit any other person to:
(a) use the Website in violation of any law, regulation or court order;
(b) use the Website for any unlawful, abusive, defamatory, fraudulent or otherwise improper purpose;

(c) use data mining, robots, scrapers, scripts or other automated methods to access, collect or copy any part of the Website without our prior written consent;
(d) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code or underlying structure of the Website;
(e) interfere with the reasonable operation of the Website or impede the use of the Website by others;
(f) introduce or attempt to introduce viruses, worms, trojans, malware or any other code of a harmful or destructive nature;
(g) circumvent or attempt to tamper with the security of the Website;
(h) remove, obscure or alter any copyright, trade mark or other proprietary notice displayed on the Website;
(i) use the Website in any manner that could harm Goodlot, its officers, employees, agents, contractors, service providers, partners or any other person; or
(j) impersonate any person or organisation in any communication submitted through the Website.

4. USER-SUBMITTED INFORMATION
4.1 When you submit information to us through the Website (including via the contact form, newsletter subscription, or any other input mechanism), you confirm that the information is accurate, that you have the right to provide it, and that you have obtained the consent of any third parties whose personal information you provide.
4.2 We handle information you submit in accordance with our Privacy Policy.
4.3 We may, at our discretion, decline to respond to or act on any submission, or remove any user-submitted content, without notice.

5. INTELLECTUAL PROPERTY
5.1 You acknowledge and agree that:
(a) the intellectual property rights in the “Goodlot” name, brand, logo, wordmark and any associated branding and trade marks (Goodlot Brand) are owned solely by Goodlot or its licensors;
(b) the intellectual property rights in all content displayed on the Website, including text, graphics, photographs, illustrations, layouts, user interfaces, logos, icons and sounds (Content), are owned by Goodlot, its licensors or its content suppliers;

(c) you have no legal or beneficial right, title or interest in or to the Goodlot Brand or the Content, other than the limited right to view the Website for the permitted purposes set out in these Terms;
(d) you must not use, copy, reproduce, adapt, modify, distribute, publish, communicate,sell, licence or commercialise any part of the Goodlot Brand or the Content without our prior written consent (or, in the case of third-party content, without the consent of the relevant rights holder); and
(e) you must not do anything that will or might reflect adversely on or damage the reputation of the Goodlot Brand.


5.2 All rights, intellectual property rights and goodwill arising in connection with the use of the Goodlot Brand vest in Goodlot.

6. THIRD-PARTY CONTENT AND LINKS
6.1 The Website may contain links to third-party websites, including eBay listings operated by Goodlot, the websites of charity, brand and talent partners, social-media platforms and other resources. These links are provided for convenience only.
6.2 We do not control, endorse or take responsibility for the content, products, services, terms or practices of any third-party website. Your use of any third-party website is at your own risk and is subject to the terms and conditions of that website.
6.3 References on the Website to third-party organisations, including charity partners, brand partners, talent and eBay, do not imply any agency, partnership, joint venture or other relationship beyond that expressly described.

7. DISCLAIMERS
7.1 The Website is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, in relation to the Website, including (without limitation) as to its accuracy, completeness, currency, suitability for any particular purpose, availability, security or freedom from errors or viruses.
7.2 We will use reasonable endeavours to keep the Website accessible, but we do not warrant that the Website will be uninterrupted, error-free, or free from harmful components.
7.3 You acknowledge that you access and use the Website at your own risk and that you are responsible for taking appropriate precautions, including the use of suitable virus protection.

8. LIMITATION OF LIABILITY
8.1 To the maximum extent permitted by law, Goodlot is not liable for any loss, damage,cost, expense or claim (including direct, indirect, consequential, incidental, special or punitive damages, and loss of profits, revenue, data or goodwill) arising out of or in connection with your access to or use of the Website.
8.2 Nothing in these Terms is intended to limit, exclude or modify any guarantee, right or remedy that cannot lawfully be limited, excluded or modified under the Australian Consumer Law or other applicable consumer protection legislation. Where our liability for a failure to comply with such a guarantee cannot be excluded but can be limited, our liability is limited, at our option, to the resupply of the relevant services or the payment of the cost of having those services resupplied.

9. INDEMNITY
You agree to release, indemnify and keep indemnified Goodlot and its officers, employees, related bodies corporate (as defined in section 50 of the Corporations Act 2001 (Cth)) and related entities (as defined in section 9 of that Act), and agents, from and against any and all claims, losses, damages and expenses (including legal fees and litigation costs) arising from or related to your use or misuse of the Website, or your breach of any provision of these Terms or applicable laws, except to the extent such claims, losses, damages and expenses result directly from any negligence of Goodlot or a breach by Goodlot of these Terms.

10. PRIVACY
Our handling of personal information collected through the Website is governed by our Privacy Policy, available at goodlot.co/privacy.

11. MODIFICATIONS
11.1 We may amend these Terms at our sole discretion at any time by posting an updated version on the Website. The updated Terms take effect immediately upon posting.
11.2 Where an update constitutes a material change, we will make reasonable efforts to announce the change on the Website. Your continued use of the Website following any amendment constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Website.

12. GOVERNING LAW AND JURISDICTION
12.1 These Terms are governed by the laws in force in the State of Victoria, Australia. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of Victoria and the courts of appeal therefrom in relation to any legal proceeding in respect of these Terms or your use of the Website.
12.2 We make no representation that the Website complies with the laws of any country outside Australia. It is your responsibility to ensure that your use of the Website complies with the laws applicable in the location from which you access it.

13. GENERAL
13.1 These Terms set out the entire agreement and understanding between you and Goodlot in relation to your use of the Website and supersede all prior agreements, understandings and representations on that subject.
13.2 Any failure or delay by us to exercise any right under these Terms does not operate as a waiver. The single or partial exercise of any right by us does not preclude any further exercise of that or any other right.
13.3 If any provision of these Terms is invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions is not affected, and the invalid, illegal or unenforceable provision is to be severed from these Terms.
13.4 Termination of these Terms or your access to the Website does not affect any provisions of these Terms that are capable of surviving termination.
13.5 You may not assign your rights under these Terms. We may assign our rights and novate our obligations under these Terms to any person upon notice to you.
